Terms and Conditions for Merchants

This Agreement ("Agreement") is entered into between MyShop.me ("Platform") and the merchant ("Merchant") participating in the B2C marketplace. By accessing or using the Platform, Merchant agrees to comply with and be bound by this Agreement. Please read these terms and conditions carefully.

1. Registration and Account

1.1. Merchant must register an account on the Platform to access and use the services provided.

1.2. Merchant is responsible for providing accurate and up-to-date information during the registration process.

1.3. Merchant must keep their account credentials confidential and are solely responsible for any activities that occur under their account.

2. Services and Obligations

2.1. The Platform provides an online B2C marketplace for Merchant to sell their products to consumers.

2.2. Merchant is solely responsible for the quality, accuracy, and legality of their products offered on the Platform.

2.3. Merchant agrees to comply with all applicable laws, regulations, and industry standards regarding the sale of their products.

2.4. Merchant shall fulfill their obligations in a professional and timely manner, providing excellent customer service and resolving any disputes or issues promptly.

3. Product Listings and Descriptions

3.1. Merchant is responsible for providing accurate and detailed information about their products, including descriptions, pricing, and availability.

3.2. Merchant shall not list or offer any prohibited or illegal products on the Platform.

3.3. The Platform reserves the right to review and remove any listings that violate the terms of this Agreement or any applicable laws.

4. Transactions and Payments

4.1. The Platform shall collect payments from consumers on behalf of Merchant for the products sold.

4.2. The Platform shall settle the net commission to Merchant after deducting any applicable fees or commissions owed to the Platform.

4.3. The settlement shall be made on a quarterly basis, unless otherwise agreed upon between the Merchant and the Platform.

4.4. The Platform shall provide a transparent breakdown of the settlement calculation, including any deductions made, for the Merchant's reference.

4.5. The Platform shall make the payment to the Merchant using the payment method specified by the Merchant during the registration process.

4.6. The Merchant is solely responsible for any taxes or other financial obligations arising from the settlement and agrees to comply with all applicable tax laws and regulations.

5. Confidentiality

5.1. Merchant shall maintain the confidentiality of any proprietary, confidential, or sensitive information shared by the Platform or consumers.

5.2. Merchant shall not disclose or use any confidential information for purposes other than fulfilling their obligations under this Agreement.

5.3. The confidentiality obligations shall survive the termination of this Agreement.

6. Beta and Invite-Only Basis

6.1. The Platform is currently in the beta testing phase and operates on an invite-only basis.

6.2. Merchant acknowledges that participation in the Platform is by invitation and subject to the Platform's discretion.

6.3. Merchant agrees to provide feedback and suggestions to help improve the Platform during the beta testing phase.

7. Termination

7.1. Either party may terminate this Agreement by providing written notice to the other party.

7.2. Upon termination, Merchant shall fulfill any outstanding orders and resolve any pending issues or disputes.

7.3. If Merchant has availed the custom shop on a custom domain service, in the event of termination or cessation of using MyShop.me services, Merchant agrees not to use the same domain name for ecommerce activities for a period of one year from the date of termination.

8. Governing Law and Jurisdiction

8.1. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified in the governing law and dispute resolution

 clause of the main agreement.

8.2. Any disputes arising out of or in connection with this Agreement shall be subject to the dispute resolution provisions specified in the main agreement.

By accepting these terms and conditions, Merchant acknowledges that they have read, understood, and agree to the terms and conditions of this Agreement.
